IP Management for Power Capture in the Execute Stage
Objective
To produce and manage execute stage intellectual property (IP) and knowledge, and to finalise IP and knowledge management processes for later stages.
Major Deliverables
- Knowledge transfer deliverables for power and capture for the execute stage. These may include:
- Redacted design deliverables with confidential IP removed, such as final piping and instrumentation diagrams, process flow diagrams, heat and material balances, layout diagrams etc
- Redacted versions of final project management deliverables with confidential IP removed such as programme, costs, etc
- summary reports of work completed in execute stage
- IP deliverables for power and capture for the execute stage, protected by IP management procedures in accordance with agreed IP and knowledge management strategy for the execute stage. These may include:
- Novel designs
- Improvements to design
- Results of tests on novel solvents or process adjustments
- Licenses
- Patent applications
- Full versions of design documents and operating procedures
- IP and knowledge management strategy document for operate and closure stages, agreed by financier(s) and supplier(s) describing:
- Tasks to be undertaken in operate and closure stages relating to IP and knowledge, including knowledge transfer
- Knowledge transfer deliverables to be produced in operate and closure stages
- Extent/map of IP ownership for the capture plant at end of execute stage
- Descriptions of new or incremental IP / knowledge expected to be produced during operate and closure stages
- Agreed ownership of new IP/knowledge, including “black”, “white” and “grey” lists i.e. secret, public, and limited access information
- Agreed knowledge transfer/knowledge sharing dissemination methods for the operate stage and later stages e.g. papers, websites
- Agreed procedures for review/continuous improvement of knowledge sharing methods
- Agreement on who is to implement knowledge transfer/sharing dissemination methods
- Agreed procedures for quality control and performance management of knowledge transfer processes
- IP requirements e.g. licenses for the key suppliers for the capture process
- Any existing knowledge transfer/sharing requirements, rights or obligations with funding parties or other members of the industry
- Any identified implications for project delivery
- Agreed timing of knowledge management activities
- Agreed definitions of major terms e.g. incremental, novel knowledge
- Knowledge management agreement for operate stage, ready for execution, between financier(s) and each key supplier for the operate stage
Tasks
Specific tasks include the following:
- Produce execute stage knowledge deliverables.
- Complete execute stage knowledge transfer / sharing tasks
- Implement IP management procedures for IP produced during execute stage. This may include:
- Purchasing and issuing licenses
- Implementing secure rooms and secure data storage for detail design work
- Filing patents
- Executing agreements such as confidentiality agreements
- Assess expected new or incremental knowledge to be produced during the remaining project stages e.g. knowledge developed by operation of first of a kind (FOAK) process etc. Identify whether these will be developed solely during development of this project or in conjunction with other projects
- Negotiation between financier(s) and key supplier(s) e.g. capture process / equipment operators to agree on:
- Ownership of existing IP / knowledge and IP / knowledge expected to be developed during the remaining project stages
- Access to IP / knowledge i.e. “black box” /“black list”, “white list” and “grey list” IP
- IP requirements for use of the technology e.g. licenses, agreement for purchase of consumables for lifetime of contract
- Tasks to be undertaken in operate stage and later stages relating to IP and knowledge, including knowledge transfer
- Knowledge transfer deliverables to be produced in operate stage and later stages
- Who will be responsible for knowledge sharing / knowledge transfer / knowledge management in the operate stage and later stages
- Any requirement for escrow
- Definitions of major terms e.g. incremental, novel knowledge
- Identify any remaining tasks to be carried out in operate stage to align IP and knowledge sharing requirements for suppliers and financiers in later stages
- Identify the relevant laws governing IP and any legal requirements for knowledge transfer in remaining stages
- Produce agreed IP and knowledge management strategy document for operate and closure stages, agreed by financier(s) and supplier(s) describing:

- IP requirements e.g. licenses for the key suppliers for the capture process
- Any existing knowledge transfer/sharing requirements, rights or obligations with funding parties or other members of the industry
- Any identified implications for project delivery
- Agreed timing of knowledge management activities
- Agreed definitions of major terms e.g. incremental, novel knowledge
- Produce knowledge management agreement for operate stage, ready for execution, between financier(s) and key suppliers
